ITEM 2.02		RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On January 5, 2011, LaCrosse Footwear, Inc. issued a press release entitled “LACROSSE FOOTWEAR ANNOUNCES RECORD PRELIMINARY RESULTS FOR THE FOURTH QUARTER AND FULL YEAR 2010” regarding its preliminary, unaudited sales results for the quarter and full year ended December 31, 2010. A copy of the press release is attached as Exhibit 99.1 and is incorporated by reference herein.

ITEM 7.01		REGULATION FD DISCLOSURE.

LaCrosse plans to present at the Cowen and Company 9th Annual Consumer Conference on Tuesday, January 11, 2011 at 10:30 AM Pacific (1:30 PM Eastern). A copy of the presentation materials is attached as Exhibit 99.2 and is incorporated by reference herein.
