Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of President and Chief Executive Officer

On January 4, 2010, LiveDeal, Inc. (the “Company”) and Richard F. Sommer agreed upon Mr. Sommer’s departure as Chief Executive Officer of the Company, and as a member of the Company’s Board of Directors, effective immediately.  Mr. Sommer’s resignation from the Board of Directors did not result from any disagreement with the Company relating to its operations, policies or practices.

Appointment of Interim Chief Operating Officer

Also on January 4, 2010, the Company appointed Kevin A. Hall as its interim Chief Operating Officer, effective immediately.  Mr. Hall has served as the Company’s General Counsel and Vice President of Human Resources and Business Development since April 2009.  He will continue to serve in those capacities.

Prior to his appointment as the Company’s General Counsel and Vice President of Human Resources and Business Development, Mr. Hall, 45, was a partner in the San Francisco, California and New York, New York offices of Reed Smith LLP, an international law firm with more than 1,500 attorneys worldwide, from 2006 until 2008.  Previously, he was a senior associate and later a partner in the New York, New York office of Linklaters, a London-based global law firm, from 1998 until 2006.  Mr. Hall, who is admitted to practice law in California and New York, specializes in general corporate law, finance, structured finance, and other complex commercial and financial transactions (including mergers and acquisitions).  He holds a B.A. in History and French Literature from Columbia College, a Master’s Degree in International Affairs from Columbia University, and a law degree from Cornell School of Law.
