Founded by Ron Knox, Ed McCarthy, Paul Schulman and Geoffrey Weinberg, Senpoint brings together a team with more than 100 years of combined experience on more than 2,000 contested situations.

The firm integrates decades of institutional campaign leadership with advanced stock surveillance technology and modern solicitation strategies designed for today’s shareholder and voting environment.

Senpoint Partners, Inc. (“Senpoint”) today announced its launch as an independent, practitioner-led proxy solicitation and corporate governance firm. Senpoint works with public companies, boards and investors on activism, proxy contests, mergers and acquisitions, corporate governance and shareholder meetings.

Senpoint’s founding partners are:

  • Ron Knox, formerly CEO of Morrow & Co. and CEO of US Operations at Morrow Sodali;
  • Ed McCarthy, formerly a Senior Managing Director and Head of M&A and Activism at D.F. King;
  • Paul Schulman, formerly Co-Head of M&A and Activism at Sodali & Co and Executive Managing Director at MacKenzie Partners; and
  • Geoffrey Weinberg, formerly a Managing Director and Head of Retail Shareholder Advisory at Sodali & Co, a Senior Managing Director at D.F. King and an M&A attorney at Weil, Gotshal & Manges LLP.

Sam Geoffroy joins as Managing Director and Head of Surveillance, having helped lead the stock surveillance team at MacKenzie Partners.

“In a world of automated voting, AI, shifting proxy advisor influence and a growing and more unpredictable retail shareholder base, winning shareholder support is more critical and more challenging than ever,” said Ed McCarthy. “We formed Senpoint to be best-in-class to meet these challenges.”

“We want to be the first call for companies or their advisors facing a difficult vote, challenging transaction or critical situation,” said Paul Schulman. “We’ve been involved in many of the most high-profile, complex and demanding campaigns globally. There’s no situation we haven’t seen. Our partners bring a wealth of experience and different perspectives to solve the most complicated client challenges.”

“We purpose-built all aspects of the firm to better service our clients and their advisors,” said Geoffrey Weinberg. “Our stock surveillance platform and team help our clients understand who owns their stock, who makes voting decisions and what matters to those investors. Technology and AI, combined with our depth of real-world experience, help us analyze a shareholder base in greater detail, test campaign strategies and outcomes, and get useful information to clients sooner, giving them more time to act.”

"We have assembled the most experienced team in the industry with the expertise to address the full spectrum of shareholder-related issues, including the most complex and challenging situations," said Ron Knox.

The partners’ prior work includes activism and M&A situations involving Procter & Gamble, The Walt Disney Company, Kroger, AT&T, Air Products, Macy’s, Xerox, Masimo, Kenvue, Aramark, Dell, Canadian Pacific, Canadian National and ADP. They have worked on campaigns involving leading activist investors including Ancora, Arkhouse, D. E. Shaw & Co., Elliott Investment Management, HoldCo, JANA Partners, Land & Buildings, Mantle Ridge, Pershing Square, Politan Capital, Starboard Value, Third Point and Trian.

Senpoint provides advice and execution across:

  • Shareholder activism preparedness, defense and proxy contests;
  • M&A and transaction-related proxy solicitation;
  • Annual and special meetings;
  • Corporate governance and shareholder engagement;
  • Stock surveillance and voting analysis; and
