Genius Sports Limited (NYSE: GENI) (“Genius Sports”), the official data, technology and broadcast partner that powers the global ecosystem connecting sports, betting and media, today announced that it intends to change its independent auditor from WithumSmith+Brown, PC ("Withum") to KPMG LLP ("KPMG") after the completion of Withum’s audit of the financial statements for the fiscal year ending December 31, 2025.

As Genius Sports continues to mature as a publicly listed company, the Audit Committee of the Board of Directors conducted a review process to determine the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2026. As a result of this process, the Audit Committee will appoint KPMG as the Company’s new independent registered public accounting firm for the fiscal year ending December 31, 2026, contingent upon the execution of an engagement letter following completion of KPMG’s client acceptance procedures and completion of Withum’s audit of the financial statements for the fiscal year ending December 31, 2025.

This change in the Company’s auditor is subject to shareholder approval at the 2026 Annual General Meeting.
