Section 5 — Corporate Governance and Management
Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     (e) On February 6, 2009, Camco Financial Corporation (“Camco”) and its wholly-owned subsidiary, Advantage Bank, entered into a Resignation and General Release Agreement (the “Agreement”) with Kemper Allison, who resigned as Advantage Bank’s Senior Vice President and Chief Lending Officer effective January 22, 2009. The Agreement provides that, in exchange for the execution of a mutual release and Mr. Allison’s agreement not to solicit Camco or Advantage’s employees or customers for a period of six months, Camco will pay Mr. Allison a lump sum of $62,500.
