     (b)     On August 30, 2007, Commercial Metals Company (the “Company”) issued a press release stating that Stanley A. Rabin, Chairman of the Board of Directors, has announced his intent to retire at the end of the Company’s 2008 fiscal year on August 31, 2008 in accordance with the Company’s established succession plan.
     A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
