Item 5.02      Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 14, 2006, Giga-tronics Incorporated’s Board of Directors appointed John R. Regazzi, 52, the President of the Corporation’s Instrument Division, as a member of the Board of Directors. The appointment is effective April 1, 2006.
