ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

      On April 27, 2005, Helmerich & Payne, Inc. (“Registrant”) issued a press release announcing its financial results for its second quarter ended March 31, 2005. A copy of the press release is attached as Exhibit 99 to this Report on Form 8-K.
