Item 8.01 Other Events.

El Paso Electric Company (the “Company”) announced on May 17, 2005 the results for holders of its 8.90% Series D First Mortgage Bonds due February 1, 2006 and its 9.40% Series E First Mortgage Bonds due May 1, 2011 (collectively, the “Bonds”), who tendered pursuant to a previously announced tender offer for its outstanding first mortgage bonds and did not withdraw their Bonds by the Early Tender Date. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K and incorporated herein by reference.
