The Registrant is unable to file its Annual Report on Form 10-K for the year ended December 31, 2012 in a timely manner due to unexpected delays in completing its financial statements for the year ended December 31, 2012. As a result, the Company's auditors have not had sufficient time to audit the financial statements for the year ended December 31, 2012 and provide their consent by the filing deadline. The Company intends to file the Form 10-K with the SEC as soon as practicable, and will make every effort to file the Form 10-K within the fifteen-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
