Item 2.02 Results of Operations and Financial Condition
On August 20, 2007, Espey Mfg. & Electronics Corp. issued a press release
announcing its financial results for the fiscal year ended June 30, 2007. A copy
of the press release is furnished as Exhibit 99.1 to this report. The

On August 20, 2007, Espey Mfg. & Electronics Corp. issued a press release
announcing that the Company's Board of Directors had declared an increase in the
first quarter cash dividend of $0.025. A copy of the press release is furnished
