NARRATIVE

           State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period. (Attach extra sheets if needed.)

           Interpool, Inc. (the "Company") was unable to complete its filing of the Company's Quarterly Report on Form 10-Q for the quarter ended June 30, 2002 (the "10-Q") on time. As a result of a change in the relationship between the Company and its 50% owned subsidiary Container Applications International, Inc. ("CAI") related to a transaction dated June 27, 2002, the Company has determined that its financial statements for the quarter ended June 30, 2002 must include CAI as a consolidated subsidiary. CAI observes a June 30 fiscal year and is currently in the process of preparing its year end financial statements, a process that normally requires 60 days, and therefore the Company is unable to file the 10-Q on time without unreasonable effort and expense.
