Item 8.01 OTHER EVENTS
On December 21, 2004, the Corporation issued a press release announcing the merger of the bank and trust subsidiaries. The resulting merged institution will change its name to Commercial Bank & Trust of PA. The merger and name change will be effective on December 31, 2004.
