DEREGISTRATION


In its Registration Statement on Form S-4 (File No. 333-75669), Dominion Resources, Inc. (Dominion) registered 250,169,392 shares of its common stock, without par value, for issuance in its merger with Consolidated Natural Gas Company. The merger has been completed and Dominion hereby deregisters 9,294,882 shares of common stock that remain unissued
