Item 3.01.   Transfer of Listing.

Effective October 14, 2004, the common stock of Modine Manufacturing Company (the "Company" or "Modine") will be listed on the New York Stock Exchange under the new ticker symbol "MOD" and voluntarily delisted from the NASDAQ, where it has traded under the symbol "MODI" since 1984. This follows the Company's previous announcement of its intention to switch to the NYSE. A copy of the Company's news release dated October 14, 2004 is attached hereto as Exhibit 99.
