ITEM 8.01 Other Events
On May 25, 2016, Pro-Dex, Inc. (the “Company”) approved amendment #1 to Rule 10b5-1 Issuer Repurchase Plan (as amended, the “10b5-1 Plan”). The 10b5-1 Plan became effective on March 23, 2016, was amended effective May 26, 2016, and will terminate on October 1, 2016, unless terminated sooner in accordance with its terms. The 10b5-1 Plan was established in accordance with, and as a part of, the Company’s previously disclosed share repurchase program. Repurchases under the Company’s 10b5-1 Plan will be administered through an independent broker.
