Results of Operations and
Financial Condition.
On August
17, 2008, National Holdings Corporation (the “Company”) issued a press release
announcing its results of operations for the quarterly and nine month period
ended June 30, 2009. A copy of the press release is attached as
Exhibit 99.1 to this report. This information is not deemed to be “filed” for
the purposes of Section 18 of the Securities Exchange Act of 1934, as amended,
or otherwise subject to the liabilities of that section, and shall not be deemed
incorporated by reference into any filings under the Securities Act of 1933, as

17, 2009, the Company announced that it will conduct a conference call at 4:15
EST on August 17, 2009 to discuss its financial results for the quarterly and
