Item 2.02 Results of Operations and Financial Condition.

On November 9, 2006 we issued a press release entitled "Laidlaw International Reports Financial Results for Fiscal 2006 and Increases Quarterly Dividend" which, among other things, set forth disclosure regarding our results of operations for the fourth fiscal quarter and the fiscal year ended August 31, 2006, provided guidance for fiscal 2007 and announced the company declared a dividend of $0.17 per share to the owners of the company's common stock on the record date of November 27, 2006. A copy of this press release is attached hereto as Exhibit 99.1. This section and the attached exhibit are provided under Item 2.02 of Form 8-K and are furnished to, but not filed with, the Securities and Exchange Act.
