Actavis Registration Statement for Pending Acquisition of Allergan Declared Effective by the SEC
- Meeting Dates for Actavis and Allergan Shareholder Meetings Set for March 10, 2015 -
DUBLIN, IRELAND and IRVINE, CA January 26, 2015 Actavis plc (NYSE: ACT) and Allergan, Inc. (NYSE: AGN) today announced that the U.S. Securities and Exchange Commission has declared effective Actavis registration statement on Form S-4 relating to Actavis pending acquisition of Allergan.
Actavis and Allergan also announced today that they have scheduled their respective special meetings of shareholders in connection with the pending acquisition for March 10, 2015. The Actavis shareholder meeting will be held at 8:30 a.m. local time at 1 Grand Canal Square, Docklands, Dublin 2, Ireland. The Allergan stockholder meeting will be held at 10:00 a.m. local time at 2525 Dupont Drive, Irvine, California. Actavis shareholders and Allergan stockholders of record as of the close of business on January 22, 2015 are entitled to vote at their respective special meetings.
Actavis and Allergan expect to begin mailing a joint proxy statement/prospectus to their respective shareholders and stockholders in the coming days. This joint proxy statement/prospectus will contain information for shareholders and stockholders of both companies, as well as instructions for shareholders and stockholders on voting.
