Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 28, 2013, Richard C. Wright, a named executive officer of the Company, notified us that, effective as of January 31, 2013, he intends to resign from his position as Vice President-Development. Mr. Wright will continue as an employee of a wholly-owned subsidiary of ours until he retires on February 28, 2013.
