EXPLANATORY NOTE
This Registration Statement on Form S-8 registers additional shares of Common Stock under the Registrants 2007 Stock Option and Incentive Plan (the Plan). On each of June 9, 2011, and June 7, 2012, the Registrants stockholders approved an amendment and restatement of the Plan that increased the number of shares of Common Stock available for issuance thereunder by 1,300,000 and 1,850,000 shares, respectively. This Registration Statement registers these additional 3,150,000 shares of Common Stock available for issuance under the Plan. The additional shares are of the same class as other securities relating to the Plan for which the Registrants registration statements filed on Form S-8 (SEC File Nos. 333-146340 and 333-172619) on September 27, 2007, and March 4, 2011 are effective. The contents of those registration statements are hereby incorporated by reference pursuant to General Instruction E.
