Item 8.01. Other Events.

On June 27, 2012, the Board of Directors of Oriental Financial Group Inc. (the “Company”) and the Board of Directors of the Company’s banking subsidiary, Oriental Bank and Trust (the “Bank”), elected Julian S. Inclán as their new Chairman, effective July 1, 2012. Mr. Inclán has been a member of the Company’s Board of Directors since August 2008 (including terms as a director of the Bank) and is the Chairman of its Compensation Committee. He previously served as a director of the Company and the Bank from 1995 to 2006.
