Item 7.01. Regulation FD Disclosure.

On September 11, 2008, Host Hotels & Resorts, Inc. (“Host”) announced that Host Hotels & Resorts, L.P. (“Host LP”), for whom Host acts as sole general partner, has entered into an agreement through its 32.1% owned joint venture in the Netherlands to purchase six hotels in three European countries for approximately €565 million, which includes the assumption of debt totaling approximately €434 million. A copy of the press release is furnished as Exhibit 99.1 to the Report.
