ITEM 7.01. Regulation FD Disclosure
On April 24, 2008, the Company announced that its Board of Directors approved a plan to transition Horizon Air to a single-type fleet within 24 months. When complete, Horizons fleet will consist of 48 or more Bombardier Q400 aircraft. Pursuant to 17 CFR Part 243 (Regulation FD), the Company is submitting Exhibit 99.1 to provide further guidance on expected capacity reductions as a result of the transition, assuming a fleet of 48 aircraft.
In accordance with General Instruction B.2 of Form 8-K, the information under this item and Exhibit 99.2 shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act), nor shall such information be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.
