Effective February 5, 2008, Petrohawk Energy Corporation (the Company) entered into the Fifth Amendment (the Fifth Amendment) to Second Amended and Restated Senior Revolving Credit Agreement dated as of July 12, 2006 among the Company, each of the lenders from time to time party thereto (the Lenders), BNP Paribas, as administrative agent for the Lenders, Bank of America, N.A. and BMO Capital Markets Financing, Inc., as co-syndication agents for the Lenders, and JPMorgan Chase Bank, N.A, Wells Fargo Bank, N.A and Fortis Capital Corp., as co-documentation agents for the Lenders. Pursuant to the Fifth Amendment, the Companys borrowing base under the credit agreement was increased from $675 million to $1 billion, inclusive of a $100 million component set to expire effective February 5, 2009. Borrowings above $900 million will carry applicable LIBOR and ABR margins of 2.00% and 0.750%, respectively. The Fifth Amendment included a waiver for 2008 of the limit set forth in the Credit Agreement on commodity swap agreements involving in excess of 85% of projected production from proved, developed producing oil and gas properties, provided that the notional volumes for commodity swap agreements do not exceed 70% of anticipated total forecasted oil or natural production for each month during 2008.
