Dear Colleague

When I wrote to you earlier this week, I promised that I would write again after I had reviewed the proposed offer for ABN AMRO announced by the Royal Bank of Scotland, Fortis and Santander Consortium on Tuesday of this week.

In my letter to you on Tuesday I said that nothing had changed and that there were no new developments. Having now looked at the proposed offer in detail, that remains my view.

My best way of illustrating this is as follows: we prepared a presentation deck for our meetings with shareholders back in the middle of March (which seems like quite a long time ago!). This included an outline timetable for our offer. In that timetable we said that we expected to post our offer to ABN AMRO shareholders during July, and expected also that the relevant shareholder general meetings would take place in August.

That timetable remains unchanged, and certainly there is nothing in the statements made by the Consortium this week that has affected our position. What we are offering is certainty, deliverability, and value.
