Questions and Answers on the impact of the proposed merger on your share awards

The questions and answers below may be helpful for colleagues who have awards from any share plan operated within Barclays.

What is happening?

Barclays has agreed merger terms with ABN AMRO. The terms of the deal are that ABN AMRO shareholders will receive 3.225 ordinary shares in Barclays for each ABN AMRO share they own. The proposed merger is subject to shareholder and regulatory approval.

Will my awards or options be affected as a result of the transaction?

No. Your existing share awards and share options will not be affected by the transaction.

Will any adjustments be made to the number of shares under my awards as a result of the transaction?

No. It will not be necessary to adjust the number of shares under each award as a result of the proposed transaction, because we expect that the total value will broadly remain the same.

Will there be any adjustments to the performance conditions and targets which apply to some share based awards?

The majority of share awards do not have performance conditions. We expect to review those plans that do have performance conditions. The principle that will apply will be that any adjusted performance conditions will not disadvantage participants.

Do I need to do anything in respect of my outstanding awards or options?

You do not need to take any action.
