Item 2.02 Results of Operations and Financial Condition.
On October 18, 2006, Teradyne, Inc. (“Teradyne”) issued a press release regarding its financial results for the quarter ended October 1, 2006. Teradyne’s press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
Item 8.01. Other Events.
On October 16, 2006, Teradyne paid off the outstanding balance, approximately $261 million aggregate principal amount, of its 3.75% Senior Convertible Notes due 2006 in accordance with the terms of the Indenture, dated as of October 24, 2001.
