Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On September 14, 2006, James C. Morgan notified Cisco Systems, Inc. (“Cisco”) and its Board of Directors of his decision to retire from the Board of Directors and not to stand for re-election at the 2006 Annual Meeting of Shareholders. Mr. Morgan will continue to serve as a director until Cisco’s 2006 Annual Meeting of Shareholders to be held on November 15, 2006.
