Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On August 30, 2006, Douglas C. Williams, President and Chief Operating Officer of Hooker Furniture Corporation (the “Company”), announced that he has decided to retire effective October 31, 2006. Mr. Williams also indicated he will resign as a member of the Company’s board of directors effective on that date.
The Company expects that upon Mr. Williams’s retirement his responsibilities as Chief Operating Officer will be assumed by Chairman and Chief Executive Officer Paul B. Toms, Jr. and other members of senior management.
The Company issued a press release on September 5, 2006 announcing Mr. Williams’s retirement. A copy of the Company’s press release is furnished with this report as Exhibit 99.1.
