Item 8.01 Other Events

Effective April 26, 2006, Valley hereby supplements its Registration Statement on Form S-3 filed on June 7, 2005 to add NorCrown LLC as a selling shareholder. The selling shareholder will be selling 1,270,882 shares of Valley’s common stock.
