Item 1.01 Entry into a Material Definitive Agreement
On July 20, 2005, the Board of Directors of Valley National Bancorp approved amendments to the Valley National Bancorp 1989 Long Term Incentive Plan and the Valley National Bancorp 1999 Long Term Incentive Plan. The primary purpose of the revisions was to refine the circumstances under which acceleration of vesting occurs pursuant to termination of employment.
