ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

 

On February 10, 2005, Microtune, Inc. (the “Company”) entered into the Company’s standard indemnification agreement (the “Agreement”) with each of Albert H. Taddiken, Chief Operating Officer, and Robert S. Kirk, Vice President, Worldwide Sales. The Agreements provide terms and conditions for the indemnification of Mr. Taddiken and Mr. Kirk by the Company for liabilities arising out of their positions as executive officers of the Company. The Company plans to file the Agreements as exhibits to its upcoming annual report on Form 10-K for the year ended December 31, 2004.
