ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 8, 2006, Arrow Electronics, Inc. (the "Company") entered into
an employment agreement ("Agreement") dated as of August 29, 2006, by and
between the Company and Vincent Melvin. The Agreement is attached hereto as
Exhibit 10.1 and is incorporated herein by reference.
