Explanatory Note:
Comstock Mining Inc. (the “Company”) is filing this Form 8-K/A for the sole purpose of correcting (1) the Item heading under which disclosure was made in the Company’s Current Report on Form 8-K, filed November 2, 2011 and (2) the date of the press release attached as an exhibit as set forth in the exhibit index.
Item 7.01 Regulation FD Disclosure.
On November 2, 2011, Comstock Mining Inc. (the “Company”) announced the posting of its third National Instrument 43-1-1 (NI 43-101) technical report (the “2011 Report”) authored by Behre Dolbear & Company (USA) Ltd. relating to the Company’s properties. The 2011 Report is now posted and available on the Company’s website, http://www.comstockmining.com/properties/technical-reports.
A copy of the press release is attached as Exhibit 99.1 to this Form 8-K. A copy of the executive summary of the 2011 Report is attached as Exhibit 99.2 to this Form 8-K. This Form 8-K, Exhibit 99.1 and Exhibit 99.2 are each being furnished to the Securities and Exchange Commission (the “SEC”) pursuant to Item 7.01 of Form 8-K and are therefore not to be considered “filed” with the SEC.
