(b)           On November 2, 2010, Oil-Dri Corporation of America (the “Registrant”) terminated the employment of Charles P. Brissman, the Company’s Vice President, General Counsel and Secretary and one of the Registrant’s named executive officers. The termination was not for cause and is effective November 2, 2010.
