Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective July 6, 2010, interCLICK, Inc. (the “Company”) appointed Frank J. Controneo and David Bard Hills as members of its Board of Directors.  Each of Mr. Controneo and Mr. Hills were granted options to purchase 50,000 shares of the Company’s common stock at a purchase price of $3.55 per share.

Neither Mr. Controneo nor Mr. Hills has been involved in any transaction with the Company that would require disclosure under Item 404(a) of the Regulation S-K.

On July 6, 2010, the Company issued a press release announcing the appointments of Mr. Controneo and Mr. Hills as members of its Board of Directors. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
