 Item 1.01.  Entry into a Material Definitive Agreement.
 
On October 1, 2009, Genta Incorporated (the “Company”), entered into an Amendment of its Lease Agreement with The Connell Company, a corporation based in New Jersey, whereby the Company extended its lease of office space in Berkeley Heights, New Jersey for an additional six months until August 31, 2010.
 
The foregoing summary of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, which will be filed as an exhibit on the Company’s Form 10-K.
