(1) | On July 1, 2010, Snow Merger Acquisition, Inc. ("Buyer"), an indirect wholly-owned subsidiary of VCA Antech, Inc. ("VCA"), purchased 23,073,863 shares of common stock, par value $0001 per share, of the Issuer pursuant to a Stock Purchase Agreement (the "Stock Purchase Agreement"), dated June 2, 2010, by and among VCA, Buyer, the Issuer and the sellers party thereto (the "Sellers"). Concurrent with the execution of the Stock Purchase Agreement, VCA, Buyer and the Issuer entered into a merger agreement (the "Merger Agreement") pursuant to which Buyer will be merged with and into the Issuer, with the Issuer continuing as the surviving corporation and as a indirect wholly-owned subsidiary of VCA.
