In accordance with the requirements of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (the Dodd-Frank Act), companies are required to include, not less frequently than once every three years, an advisory resolution subject to a non-binding stockholder vote to approve the compensation of such companys named executive officers in its proxy materials for a meeting of stockholders where executive compensation disclosure is required by the SEC rules. Although smaller reporting companies, including the Company, became subject to this requirement for the first time this year pursuant to Rule 14a-21 of the Securities Exchange Act of 1934, as amended, the Company previously included the required non-binding stockholder resolutions regarding executive compensation and the frequency of such stockholder advisory votes in its proxy statement for the Companys Annual Meeting of Stockholders held on February 24, 2011. As required under the Dodd-Frank Act and the SEC rules, and consistent with the approval by the Companys stockholders received in 2011 of holding this non-binding stockholder vote every three years, the Company will include an advisory resolution regarding executive compensation in its proxy materials for next years annual meeting of stockholders.
