On February 27, 2009, TD AMERITRADE Holding Corporation and the Company announced the expiration of the antitrust waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the acquisition of the Company by TD AMERITRADE.
