Item 8.01  Other Events.

 

In connection with lock-up agreements established between the officers, directors and certain shareholders of Ascent Solar Technologies, Inc. (the “Company”) and the underwriters named in the Registration Statement on Form S-3 filed by the Company on March 14, 2008, Matthew Foster, Janet Casteel, Dr. Joe Armstrong, Dr. Mohan Misra, and ITN Energy Systems, Inc. have suspended or terminated each of their Rule 10b5-1 trading plans, under which each had sold shares of common stock of the Company.
