On December 29, 2005, Career Education Corporation (the Registrant) filed a Current Report on Form 8-K with the Securities and Exchange Commission in connection with the announcement that Leslie T. Thornton was appointed to the Registrants Board of Directors (the Board).
On May 18, 2006, the Board appointed Ms. Thornton to the Nominating and Governance Committee of the Board. In addition, the Board designated a Compliance Committee of the Board to which Ms. Thornton was appointed Chairperson.
