Item 2.02 Results of Operations and Financial Condition
On February 14, 2006, Imergent, Inc. (the “Company”) issued a press release announcing revised estimated ranges of its unaudited, restated financial results for fiscal years 2003, 2004 and 2005. Additionally, the Company issued estimated ranges of its unaudited financial results for the first and second quarters of fiscal 2006. A copy of that press release is furnished with this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
