This registration statement is being filed for purposes of registering 1,200,000 shares of Class A Common Stock of VILLAGE SUPER MARKET, INC., issuable pursuant to our 2010 Stock Option Plan, as the same may be amended or restated (the “Plan”). Pursuant to Rule 416(a) under the Securities Act of 1933, as amended, this registration statement (the “Registration Statement”) also covers an indeterminate number of shares that may be offered or issued as a result of stock splits, stock dividends, or similar transactions.

INTRODUCTION
Pursuant to General Instruction E of Form S-8, the registrant, Village Super Market, Inc. (the “Registrant”), is filing this Registration Statement with respect to the issuance of 1,200,000 shares of its common stock, no par value per share (the “Common Stock”), under the Plan.
